GraphWorks EQ

GraphWorks EQ licence terms

  1. What this covers. These terms cover GraphWorks EQ as a whole ("the Software"): the application, its audio engine, its user interface and its audio driver ("the Driver": on Windows the kernel-mode driver, the files GoldenEQAudio.sys, GoldenEQAudio.inf and GoldenEQAudio.cat; on macOS the audio server plug-in GraphWorksEQ.driver, installed in the system's HAL plug-ins folder; and any later versions of either we ship), together with any update we deliver. The Software is licensed to you, not sold, by Headphones Inc., doing business as Headphones.com ("we", "us").

GraphWorks Access, which unlocks the equalizer's processing, is covered by the GraphWorks Terms of Service at graph.headphones.com/terms. Without it the Software passes audio through unchanged.

  2. Your licence. You may install and use the Software on computers you own or control, for your own use, through the GraphWorks EQ installer and updater. The Driver may be used only as a component of the Software and only through the Software.

  3. What you may not do. You may not: (a) copy, extract, redistribute, sell, rent, lend, host or otherwise make the Software or any part of it available on its own or as part of any other software or device; (b) use the Driver with any software other than GraphWorks EQ, or send it commands from any program other than the GraphWorks EQ application; (c) modify, adapt, translate, decompile, disassemble or reverse-engineer the Software or any part of it, or create works derived from it, except where the law allows this regardless of these terms; (d) work around, disable or defeat any licence check, integrity check or other protection in the Software; (e) remove, alter or obscure any copyright, trademark or digital-signature notice in or on the Software; (f) re-sign any part of the Software, or present the Software or its signatures as an endorsement, certification or approval of any other software or hardware.

  4. The signatures. The Software and the Driver are digitally signed, and on macOS notarized, so that Windows and macOS will run and load them. For now GraphWorks EQ's developers sign them for us with their own certificates and developer accounts, so the Windows installer names GoldenSound Ltd and the macOS installer names Cameron Oatley as the signer. The signatures do not give you any right to the certificates or the signing keys, and they are not a representation about anything other than the Software as we shipped it.

  5. Updates. We may update or replace the Software, including the Driver, through the GraphWorks EQ updater. Updated versions are covered by these terms unless they come with new terms.

  6. Ownership. We keep all rights in the Software that these terms do not expressly give you.

  7. No warranty. To the fullest extent the law allows, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND, AND WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE (INCLUDING SYSTEM INSTABILITY, DATA LOSS OR LOSS OF AUDIO) arising from its use, except where liability cannot be excluded by law. The Driver runs inside the Windows kernel or inside macOS's audio server, and this clause applies to it in full. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.

  8. Third-party components. The Software includes components licensed by others under their own terms, listed in the file THIRD-PARTY-NOTICES.txt installed with the application. Those terms apply to those components.

  9. Ending the licence. This licence ends automatically if you break these terms. When it ends you must uninstall GraphWorks EQ, which removes the Driver.

  10. Law and disputes. These terms are governed by the laws of the State of Delaware, and disputes about them are resolved as Section 14 of the GraphWorks Terms of Service describes, including binding individual arbitration. Consumers keep any rights their local law gives them.
